1. Acceptance of Terms

Welcome to Vinsyre Technologies Private Limited ("Vinsyre", "we", "us", or "our"). By accessing or using our website and services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable laws.

2. Definitions

  • "Services" refers to all software development, web development, mobile application development, and related IT services provided by Vinsyre
  • "Client" or "You" refers to any individual or entity using our services
  • "Deliverables" refers to all work products, software, code, designs, and materials created as part of our services
  • "Confidential Information" refers to any proprietary information shared between parties

3. Services

3.1 Scope of Services

Vinsyre provides custom software development, web development, mobile application development, UI/UX design, cloud solutions, and IT consulting services. The specific scope of services will be defined in individual project agreements or statements of work.

3.2 Service Delivery

We commit to:

  • Delivering services with professional skill and care
  • Meeting agreed-upon timelines and milestones
  • Providing regular project updates and communication
  • Maintaining quality standards as per industry best practices

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information for project requirements
  • Respond to queries and provide feedback in a timely manner
  • Make payments as per agreed terms
  • Provide necessary access, resources, and approvals for project completion
  • Not use our services for any unlawful purpose

5. Intellectual Property Rights

5.1 Client IP

You retain ownership of all intellectual property you provide to us for the project, including logos, content, and existing materials.

5.2 Deliverables

Upon full payment, intellectual property rights in custom Deliverables created specifically for you will be transferred to you, unless otherwise agreed in writing.

5.3 Vinsyre IP

We retain ownership of:

  • Pre-existing tools, libraries, and frameworks
  • Generic components that may be reused in other projects
  • Our methodologies, processes, and know-how

5.4 Open Source

Some deliverables may include open-source components. Such components remain subject to their respective licenses.

6. Payment Terms

6.1 Pricing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST) unless stated otherwise.

6.2 Payment Schedule

Payment terms will be specified in individual project agreements. Standard terms include:

  • Advance payment (typically 30-50%) before project commencement
  • Milestone-based payments during development
  • Final payment upon project completion and delivery

6.3 Late Payments

Late payments may incur interest at 18% per annum and may result in suspension of services.

7. Confidentiality

Both parties agree to:

  • Maintain confidentiality of all proprietary information shared during the engagement
  • Use confidential information only for the purpose of the project
  • Not disclose confidential information to third parties without prior written consent
  • Return or destroy confidential information upon project completion or termination

This obligation survives termination of the agreement for a period of 3 years.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. For software deliverables, we provide a warranty period (typically 30-90 days) during which we will fix defects at no additional cost.

8.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

In accordance with Section 43A of the IT Act, 2000:

  • Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim
  • We shall not be liable for indirect, incidental, consequential, or punitive damages
  • We shall not be liable for loss of profits, data, business opportunities, or goodwill

10. Indemnification

You agree to indemnify and hold Vinsyre harmless from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Your violation of any third-party rights
  • Your misuse of our services
  • Content or materials you provide that infringe intellectual property rights

11. Termination

11.1 Termination for Convenience

Either party may terminate the agreement with 30 days written notice. Client shall pay for all work completed up to the termination date.

11.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches the agreement and fails to cure within 15 days of written notice.

11.3 Effect of Termination

Upon termination, we will deliver all completed work and return your materials. Confidentiality and payment obligations survive termination.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, pandemics, or internet/telecommunications failures.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India.

13.2 Arbitration

Any disputes arising from these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in [City], India, in English.

13.3 Jurisdiction

Subject to the arbitration clause, courts in [City], India shall have exclusive jurisdiction.

14. Information Technology Act Compliance

In compliance with the IT Act, 2000 and IT (Intermediary Guidelines) Rules, 2021:

  • We act as an intermediary for certain services and comply with due diligence requirements
  • We maintain records as required under applicable laws
  • We cooperate with law enforcement agencies as per legal requirements
  • We have appointed a Grievance Officer for addressing complaints

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or website notice. Continued use of services after changes constitutes acceptance.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
